Svetlana Dryga, Head of the Moscow Office of TEAM Consulting Group, participated in the seminar “Tango with Regulators: How Latin American Investors Can Close Deals in Russia,” organized by the National Committee for the Promotion of Economic Cooperation with Latin American Countries (NC SECLA) in partnership with the law firm Asari Legal.
The event brought together more than 40 participants, including representatives of Latin American diplomatic missions, trade offices, international businesses, and the expert community. The discussion focused on current issues of foreign investment regulation in Russia and the structuring of transactions involving international investors.
Experts from Asari Legal presented a detailed overview of the current requirements of Russian legislation and the practical aspects of supporting investment projects. Particular attention was paid to regulatory control, corporate structuring, and risk assessment when foreign investors acquire Russian assets.
During the discussion, participants noted that for investors from Latin American countries, one of the key factors is whether there are links to companies from so-called “unfriendly” jurisdictions, as well as whether the target assets belong to strategically significant sectors of the economy.
The seminar also addressed the application of special regulatory regimes established by Presidential Decrees of the Russian Federation, issues related to dividend payments and financing arrangements, as well as compliance with foreign investment and antitrust legislation.
The experts emphasized the importance of conducting a comprehensive regulatory audit before entering into a transaction. Such an assessment includes reviewing the beneficial ownership structure, evaluating the transaction object, determining the status of the target asset, and identifying whether approvals from government authorities are required.

The discussion included representatives from Peru, Argentina, and Venezuela, who confirmed their interest in expanding economic cooperation with Russian companies.
